By assessing this web application (referenced here as "the Services" you already agree to and accep this Terms of use in full. This terms of use outlines the acceptable use of the Services and governs your rights, obligations and restrictions, including your posting and the usage of content posted.

 In the event that any User fails to comply with any of the conditions set forth herein, Yale University (referred here as “the Organization”) reserves the right to withdraw the User Account in question and suspend or withdraw all access to the Services for that User without notice.

 The Organization may modify this terms of use from time to time and such modification shall be effective the date it is published. You will be deemed to have agreed to any such modifications by your further use of the Services after any such modification is posted. It is therefore important that you review this terms of use regularly to ensure you are updated as to any changes. By accessing the Services, you hereby accept that your personal data may be processed in accordance with the privacy policies as set by the compliance standards of the Organization.  This Terms of Use shall be governed by and construed in accordance with the internal laws of the State of Connecticut applicable to agreements made and to be fully performed therein, without application of the principles of conflicts of laws. The User hereby consents to the jurisdiction of the state courts of Connecticut, New Haven County and waives any objection to venue in such courts.

 Do:

• comply in full with this terms of use;
• comply with all applicable laws and governmental regulations, including, but not limited to, all intellectual property, data, privacy, and export control laws, and regulations promulgated by any government agencies;
• upload and disseminate only information which you own all required rights under law and under contractual and fiduciary relationships (such as proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements) and do so only consistent with applicable law;
• use commercially reasonable efforts to prevent unauthorized access to or use of the Services;
• keep passwords and all other login information confidential;
• monitor and control all activity conducted through your account in connection with the Services;
• promptly notify us if you become aware of or reasonably suspect any illegal or unauthorized activity or a security breach involving your authorized User account or that of another authorized User account, including any loss, theft, or unauthorized disclosure or use of a Username, password, or account;
• comply in all respects with all applicable terms of the third party applications, including any that the Organization elects to integrate with the Services, that you access or subscribe to in connection with the Services; and treat all authorized Users and/or third parties of the Services with respect.

 Do not:

• permit any third party that is not an authorized member of the Organization to access or use your authorized User account to access the Services;
• share, transfer or otherwise provide access to a user account designated for you to another person;
• use the Services to store or transmit any data that may infringe upon or misappropriate someone else’s trademark, copyright, or other intellectual property, or that may be tortious or unlawful;
• upload to, or transmit from, the Services any data, file, software, or link that contains or redirects to a virus, Trojan horse, worm, or other harmful component or a technology that unlawfully accesses or downloads content or information stored within the Services or on the hardware of OfficeAccord LLC (the provider of the Services) or any third party;
• attempt to reverse engineer, decompile, hack, disable, interfere with, disassemble, modify, copy, translate, or disrupt the features, functionality, integrity, or performance of the Services (including any mechanism used to restrict or control the functionality of the Services), any third party use of the Services, or any third party data contained therein (except to the extent such restrictions are prohibited by applicable law);
• attempt to gain unauthorized access to the Services or related systems or networks or to defeat, avoid, bypass, remove, deactivate, or otherwise circumvent any software protection or monitoring mechanisms of the Services;
• access the Services in order to build a similar or competitive product or service or copy any ideas, features, functions, or graphics of the Services;
• use this service in any way that (a) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; (b) facilitates illegal activity; (c) depicts sexually explicit images; (d) promotes unlawful violence; (e) is discriminatory based on race, gender, color, religious belief, sexual orientation, disability, or any other illegal activity; (f) causes damage or injury to any person or harms the health, reputation, or integrity of oneself, others, the Organization, or OfficeAccord, LLC (the service provider). The Organization is not a party to any agreement or transaction between Users, nor is The Organization nor OfficeAccord LLC liable in respect of any matter arising from a dispute between Users;
• use the Services in any manner that may harm minors or that interacts with or targets people under the age of thirteen;
• impersonate any person or entity, including, but not limited to an “Administrator”, an “Owner”, or any other User, or falsely state or otherwise misrepresent your affiliation with a person, organization or entity;
• post unsolicited communications, promotions or advertisements, or spam;
• post altered, deceptive or false source-identifying information, including “spoofing” or “phishing”;
• sublicense, resell, time share or similarly exploit the Services;
• use the Services for consumer purposes, as This Service is intended for use by only employees or members of the organization;
• use contact or other User information obtained from the Services to contact Authorized Users outside of the Services without their express permission or authority or to create or distribute mailing lists or other collections of contact or User profile information for Authorized Users for use outside of the Services; or
• post any information that would be deemed private;
• resell or rent items to make a profit;
• use the Services to make commercial solicitations of your own or that of others;
• use the Services to promote non-charitable organizations, political parties, or political candidates;
• use the Services as a tool to solicit work for businesses;
• the use of the Services should not interfere with your work activities;
• authorize, permit, enable, induce or encourage any third party to do any of the above; and 
• use the Services in a manner that violates the Organizations policies, including but not limited to harrassment and bullying policies.
